These Terms & Conditions (“Terms”) govern your use of the Cross Biologics website, https://crossbiologics.com (the “Site”), and the products, services, and programs offered by Cross Biologics (“we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Acceptance of Terms
By using the Site, submitting a contact form, purchasing products, or enrolling in our coaching programs, you agree to these Terms, our Privacy Policy, and any additional terms applicable to specific services or programs.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
2. Eligibility
The Site and our services are intended for use by:
- Licensed healthcare providers (chiropractors, medical doctors, nurse practitioners, etc.)
- Clinic owners and administrators
- Individuals authorized to make purchasing decisions on behalf of a healthcare practice
You represent and warrant that:
- You are at least 18 years of age
- You have the legal authority to enter into these Terms on behalf of yourself or your clinic
- You will use the Site and our services in compliance with all applicable laws and regulations
3. Services Offered
Cross Biologics provides:
3.1 Product Distribution
We supply regenerative biologics, PRP kits, wound-care products, supplements, and medical devices to licensed healthcare providers at wholesale pricing.
3.2 Coaching and Consulting Programs
Our Revenue Accelerator programs (Regen and Wound Care) include coaching, training, templates, and implementation support to help clinics launch and grow regenerative medicine and wound-care service lines.
3.3 Partnerships and Resources
We facilitate access to vetted partners for patient financing, marketing, billing, and compliance support.
4. Account Registration and Security
To access certain services (product ordering, program enrollment, member resources), you may be required to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized use of your account
You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
5. Product Orders and Pricing
5.1 Orders
All product orders are subject to acceptance by Cross Biologics. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraud.
5.2 Pricing and Payment
Prices are subject to change without notice. Payment is due at the time of order unless other arrangements have been made. We accept major credit cards and ACH payments through secure third-party payment processors.
5.3 Taxes and Shipping
Applicable sales taxes and shipping fees will be added to your order total. Shipping times are estimates and are not guaranteed.
5.4 Returns and Refunds
Due to the nature of biologics and medical products, most items are non-returnable. Damaged or defective products may be eligible for replacement or refund if reported within 7 days of delivery. Contact us at info@crossbiologics.com to initiate a return.
6. Program Enrollment and Fees
6.1 Revenue Accelerator Programs
Enrollment in our Regen or Wound Care Revenue Accelerator programs requires payment of program fees as outlined in the enrollment agreement. Program fees are non-refundable except as required by law.
6.2 Participation Requirements
By enrolling, you agree to:
- Attend scheduled coaching calls and training sessions
- Complete assigned tasks and implement program materials
- Comply with all applicable laws, regulations, and professional standards
6.3 Program Cancellation
We reserve the right to cancel or modify program schedules, curriculum, or enrollment in our sole discretion. In the event of program cancellation by Cross Biologics, enrolled participants will receive a prorated refund of unused program fees.
7. Intellectual Property
7.1 Ownership
All content on the Site, including text, graphics, logos, images, videos, software, and program materials, is the property of Cross Biologics or its licensors and is protected by U.S. and international copyright, trademark, and intellectual property laws.
7.2 License to Use
We grant you a limited, non-exclusive, non-transferable license to access and use the Site and program materials for your personal or clinic use. You may not:
- Reproduce, distribute, or publicly display Site content without our written permission
- Modify, reverse engineer, or create derivative works based on our materials
- Use our trademarks, logos, or branding without authorization
7.3 User-Generated Content
If you submit content to the Site (testimonials, reviews, forum posts), you grant Cross Biologics a perpetual, royalty-free, worldwide license to use, reproduce, modify, and distribute that content for marketing and promotional purposes.
8. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS, SERVICES, AND PROGRAMS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Site will be error-free, uninterrupted, or secure
- Products will meet your specific requirements or expectations
- Program participation will result in specific revenue outcomes
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CROSS BIOLOGICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, PRODUCTS, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO CROSS BIOLOGICS IN THE 12 MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless Cross Biologics, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Site or our services
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Your use of products or program materials in a manner inconsistent with applicable laws or professional standards
11. Regulatory and Compliance Disclaimer
Cross Biologics provides products, educational content, and coaching to support clinic growth. However:
- You are responsible for compliance: You are solely responsible for ensuring that your use of our products and implementation of regenerative medicine or wound-care services complies with all applicable federal, state, and local laws, regulations, and professional standards.
- No medical advice: We do not provide medical advice or patient care recommendations. All content is for educational and business purposes only.
- Product compliance: While we source products from FDA-registered facilities, you are responsible for verifying that products are appropriate for your intended use and scope of practice.
- No guarantees: We make no guarantees regarding reimbursement, regulatory approval, or business outcomes.
12. Dispute Resolution and Arbitration
12.1 Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.
12.2 Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Arbitration will be conducted in Orlando, Florida, or via virtual hearing if mutually agreed.
You waive your right to participate in a class action lawsuit or class-wide arbitration.
12.3 Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the infringement of intellectual property rights or confidential information.
13. Termination
We reserve the right to suspend or terminate your access to the Site or services at any time, with or without notice, for any reason, including violation of these Terms.
Upon termination:
- Your right to use the Site and services will immediately cease
- You remain liable for any outstanding fees or obligations
- Sections of these Terms that by their nature should survive (Intellectual Property, Limitation of Liability, Dispute Resolution) will remain in effect
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional program-specific agreements, constitute the entire agreement between you and Cross Biologics regarding your use of the Site and services.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.
